Jay

Terms of service.

These terms govern the use of Jay by all its users and the purchase of its paid plans. This summary has no contractual value: only the articles that follow are binding.

  • Free or monthly. The Free plan costs nothing; four paid plans are sold monthly: Small €9, Medium €19, Large €39, Extra Large €79 including VAT.
  • No commitment. You cancel from Jay at any time; cancellation takes effect at the end of the paid month.
  • 14 days to change your mind. A consumer can withdraw within 14 days and only pays for the period already used.
  • Your content remains yours, mostly on your computer, and is never used to train models.
  • AI can make mistakes. Check results before using them, and keep backups: the agent acts on your files.

Article 1 · Publisher, purpose and acceptance

Jay is published by dev-id, and these terms apply as soon as an account is created.

1.1 Publisher. dev-id, a French simplified joint-stock company (SAS) with share capital of €123,897.91, registered with the Trade and Companies Register (RCS) of Aix-en-Provence under number 828 890 145, with its registered office at 2 chemin de Freyguières, 13240 Septèmes-les-Vallons, France, EU VAT number FR78 828 890 145, represented by its Managing Director (directeur général), Guillaume Bonnaire. Contact: contact@dev-id.fr, +33 6 11 38 38 18.

1.2 Purpose. These terms of sale and use (the “Terms”) govern access to and use of Jay by any User, and the subscription to paid Plans by Customers. They apply to Consumers and Professionals alike, subject to the clauses specific to each.

1.3 Acceptance. You accept the Terms by creating your account, and again when subscribing to a paid Plan, by ticking the box provided for that purpose. The applicable version is the one in force on the date of that acceptance. The Terms can be viewed at any time at https://www.dev-id.fr/en/jay-termsofservice and from the app, and you can save or print them. Each subscription is confirmed to you by email.

1.4 Contractual documents. The contract consists of the Terms and the description of the Plan displayed at the time of subscription (content, Quota, price). In the event of a conflict, that description prevails as regards the content and price of the Plan. The privacy policy describes how your personal data is processed.

Article 2 · Definitions

The capitalized words below have the same meaning throughout the document.

  • Jay or the Service: the Jay desktop app and the online services that make it work (account, artificial intelligence models, billing).
  • dev-id, we, us: the publisher of Jay, identified in article 1.
  • User, you: any person who creates a Jay account.
  • Customer: a User who subscribes to a paid Plan.
  • Consumer: any natural person acting for purposes outside their trade, business, craft, profession or agricultural activity.
  • Non-professional: any legal entity not acting for professional purposes.
  • Professional: any person, natural or legal, who uses Jay for the needs of their professional activity.
  • Plan: the Jay access package (Free, Small, Medium, Large or Extra Large) that sets the Quota and the accessible Models.
  • Quota: the volume of Model usage included in the Plan over a given period.
  • Models: the artificial intelligence models used by Jay. For conversation, they are available through Fast, Versatile, Thinking and Expert modes; Auto picks the appropriate mode. Ray and Ink handle image generation and editing, and Ear handles audio transcription.
  • Inputs: everything you provide to Jay: messages, files, images, recordings, instructions, and the content of Third-party Services you have it read.
  • Outputs: everything Jay produces for you from the Inputs: text, code, images, documents, transcripts, actions.
  • Content: the Inputs and the Outputs.
  • Agent: the Jay feature that chains actions to carry out a request (reading, creating, modifying or deleting files, running commands, driving the built-in browser, using connected Third-party Services).
  • Third-party Services: services from other publishers that you connect to Jay (for example Google, Notion, Figma, Pennylane) or that Jay uses for you.

Article 3 · Account

Jay is used with a personal account, available from age 15.

3.1 Age and capacity. Jay is for people aged 15 and over. Between 15 and 18, subscribing to a paid Plan requires the prior consent of a holder of parental authority, who then accepts the Terms on the minor's behalf. A person who creates an account on behalf of a Professional declares that they have authority to bind it.

3.2 Creation. The account is created with an email address and a password, after the address is confirmed, or with a Google account. You provide accurate information and keep it up to date. The account is personal: it cannot be shared or transferred, and creating several accounts to accumulate free Quotas is prohibited.

3.3 Security. Keep your password confidential: any activity on your account is presumed to be yours. Jay keeps access to your account and to the Models on your computer: protect access to that computer, and sign out of Jay on a shared computer. Notify us without delay of any unauthorized use.

3.4 Deletion by you. You can delete your account at any time from Settings > Account. The request signs you out immediately; the account is deleted within 30 days, and the current subscription is cancelled with no further charge and no refund of the period already started, unless you exercise your right of withdrawal (article 8). Your Content stays on your computer. Deletion is permanent.

3.5 Inactivity. An account with no current subscription and no sign-in for 3 years is deleted, after a warning email sent at least 30 days beforehand.

Article 4 · The service

Jay is an artificial intelligence work assistant that you install on your computer.

4.1 Description. Jay lets you, among other things, converse with Models, have the Agent work on your files and projects (code, documents, spreadsheets, presentations, mockups), generate and edit images, record and transcribe meetings, and use connected Third-party Services. The features are detailed in the app and evolve as provided in article 14.3.

4.2 Platforms. Jay is available for macOS (Apple silicon) and, depending on the versions released, for Windows and Linux. Some features exist only on Mac, such as voice dictation, screen reading, text recognition in images or AppleScript automation. System requirements are listed on the download page. Features that use the Models require an internet connection.

4.3 Your Content stays with you. Jay stores your conversations, projects and files on your computer: dev-id does not host them and cannot restore them if they are lost (article 13.6). Only the data described in the privacy policy passes through our servers or those of our service providers.

4.4 Updates. Jay updates automatically. Some updates are necessary for security or to keep the Service in conformity, and a version that is too old may stop working with the online services.

4.5 Experimental features. Some features, flagged as experimental, may be open to only some Users; they may change or be withdrawn at any time.

Article 5 · Plans, quotas and models

All Plans give access to all of Jay's features; they differ in their Quota and in the conversation modes available.

5.1 The Plans. The Free Plan costs nothing and applies to any account without a subscription. Four paid Plans are sold monthly. As of the date of these Terms:

All Plans include automatic mode selection (Auto), image generation and editing (Ray, Ink), meeting transcription (Ear), the Atelier and an unlimited number of projects. The description displayed in the app at the time of subscription is authoritative (article 1.4).

5.2 The Quota. It is measured in tokens, small units of text: the text sent to the Models, excluding the part already cached, and the text they produce. Generated or edited images and transcriptions are also counted. Your consumption is shown in the app; the estimated cost displayed there is a reference point and is not billed.

5.3 Quota renewal. Two Quotas apply at the same time: the weekly one, renewed every Monday at 00:00 (UTC), and the monthly one, renewed on the 1st at 00:00 (UTC), whatever the date of your subscription. When either is reached, new requests are refused until it renews, and the renewal date is displayed, unless you upgrade to a higher Plan. Unused Quota does not carry over. After a Plan change, the new Quota applies to the current period, and usage already consumed still counts towards it.

5.4 Modes and Models. Each Plan gives access to the conversation modes listed above. In Auto mode, Jay picks the appropriate mode for each request among those in your Plan; if you choose a mode your Plan does not include, Jay uses the most capable mode in your Plan. Each conversation mode uses a Model whose name and version number are displayed in the app. The Models evolve (article 14.3): their version number changes when their engine changes noticeably.

5.5 Special plans. dev-id may grant certain accounts a special plan (testing program, partnership), whose terms are communicated to them. A paid subscription replaces that plan for its duration.

Article 6 · Prices, payment and invoices

The price of a paid Plan is paid in advance, every month, through Stripe.

6.1 Prices. Prices are stated in euros, including all taxes, at the applicable VAT rate. The amount of VAT depends on your country and status, and is shown on the invoice.

6.2 Payment. The price is paid on subscription, then on each renewal, by bank card or any other method offered on the payment page. Payment is processed by Stripe: dev-id never has access to your card numbers. By subscribing, you authorize the monthly charge of the price until cancellation.

6.3 Invoices. An invoice is issued with each payment. It is sent to you by email and remains available in “Manage my subscription”, from Jay's Settings.

6.4 Promotional codes. dev-id may offer promotional codes, whose conditions are specified when they are issued.

6.5 Price changes. A new price applies to new subscriptions. For a Customer who is already subscribed, any price change is notified at least 30 days before it applies, and only applies from the first renewal after that period; if they refuse it, the Customer may cancel before that date. When you change Plans, you pay the current price of the new Plan.

6.6 Professionals. Any late payment by a Professional automatically incurs penalties at three times the legal interest rate, and a fixed indemnity of 40 euros for recovery costs (article L441-10 of the French Commercial Code).

Article 7 · Term, plan changes and cancellation

A subscription lasts one month, renews automatically and can be cancelled at any time, effective at the end of the paid month.

7.1 Term. The subscription runs for one month from payment, then renews automatically for one month, on the same date, until cancelled. The next renewal date is shown in Jay's Settings.

7.2 Cancellation by you. You can cancel at any time, without giving a reason, from Jay's Settings (“Manage my subscription” or “Back to Free”). Cancellation takes effect at the end of the paid period: you keep your Plan until then, then move to the Free Plan. The current period is not refunded, except in the cases provided for in articles 8, 13 and 14. Until that date, you can undo the cancellation.

7.3 Plan changes. Upgrading to a higher Plan is immediate: the price difference for the rest of the period is billed straight away, prorated. Downgrading to a lower Plan takes effect at the end of the paid period. The Quota rules of article 5.3 apply.

7.4 Failed payment. If a payment fails, you keep your Plan while Stripe retries, and Jay invites you to update your payment method. If all attempts fail, the subscription ends and the account moves to the Free Plan.

7.5 End of the subscription. When a subscription ends, for whatever reason, the account moves to the Free Plan: the Models reserved for the previous Plan are no longer available, but nothing is deleted from your computer.

Article 8 · Right of withdrawal

A Consumer has 14 days to withdraw from a subscription, and then only pays for the period already used.

8.1 Period. You have 14 days from subscribing to a paid Plan to withdraw, without having to give a reason.

8.2 Immediate performance. By subscribing, you expressly request, by ticking the box provided for that purpose, that the Service start right away, before the end of the withdrawal period. If you then withdraw, you pay an amount proportionate to the service provided until you communicated your decision, calculated pro rata to the number of days elapsed. Example: for Medium at €19 over a 30-day month, withdrawing on day 6 leaves €3.80 payable by you, and €15.20 is refunded.

8.3 How to withdraw. To withdraw, send the form in Annex 1, or any other unambiguous statement, to contact@dev-id.fr or by post to the address in article 1. dev-id acknowledges receipt by email.

8.4 Refund. dev-id refunds you within 14 days of receiving your decision, using the payment method used for the subscription. The subscription ends and the account moves to the Free Plan.

8.5 Consumers only. The right of withdrawal does not apply to Professionals.

Article 9 · Your content, the outputs and ownership of Jay

Your Content belongs to you, and dev-id only uses it to provide you with the Service.

9.1 Your Content. You retain all your rights in your Inputs. dev-id claims no rights in the Outputs: you may use them freely, including for commercial purposes, subject to third-party rights and the law.

9.2 What dev-id does with it. You authorize dev-id and its processors to process your Content only to the extent necessary to provide the Service: sending it to the Models, producing the Outputs, carrying out the requested actions, checking images, diagnosing incidents and preventing abuse. dev-id never uses your Content to train or improve models, does not sell it and does not use it for advertising.

9.3 Nature of the Outputs. Outputs are not exclusive: identical or similar Outputs may be produced for other Users. They may include protected elements (trademark, logo, work, a person's face): check them before any distribution or commercial use. An Output produced without sufficient human creative input may not be protected by copyright.

9.4 Your warranty. You warrant that you hold the necessary rights and authorizations over your Inputs, in particular over any third-party personal data they contain.

9.5 dev-id's ownership. Jay (software, interface, names of Jay and the Models, documentation, built-in skills) belongs to dev-id or its licensors. dev-id grants you a personal, non-exclusive and non-transferable right to install and use Jay on your computers, for your personal or professional needs, for the life of your account. Except as permitted by article L122-6-1 of the French Intellectual Property Code, you may not copy, modify or decompile Jay. The open-source components included in Jay remain subject to their own licenses.

9.6 Suggestions. If you send us ideas or feedback about Jay, dev-id may use them freely, without compensation.

Article 10 · Using AI and the Agent

Outputs can be wrong and the Agent really acts on your computer: you remain in control of, and responsible for, how they are used.

10.1 Nature of the Outputs. Outputs are produced by statistical Models. They may be inaccurate, incomplete, outdated or biased, even when they seem certain, and do not reflect dev-id's opinion. Check them before using them. Jay does not replace a professional: a legal, tax, accounting, medical or human resources Output is a draft to be validated.

10.2 The Agent acts on your computer. At your request, the Agent can read, create, modify or delete files, run commands, drive the built-in browser and act in connected Third-party Services. You choose its permission level for each conversation: by default, sensitive actions are submitted to you for confirmation; with Full access, they run without asking you, under your responsibility. Keep backups (article 13.6).

10.3 Actions in your name. Emails, invitations, messages or files that the Agent sends or modifies in a Third-party Service are sent or modified from your account, in your name. Review them before confirming.

10.4 Malicious content. A web page, email or document read by the Agent may contain hidden instructions intended to hijack it. Jay limits this risk but cannot rule it out: only give the Agent the access the task needs.

10.5 Generated content. When you share a generated image, sound or video that resembles real people, places or events, disclose its artificial origin where the law requires, in particular Regulation (EU) 2024/1689 on artificial intelligence.

Article 11 · Rules of use

You are responsible for your Inputs and for how you use the Outputs.

11.1 Prohibited uses. You agree not to use Jay to:

  • produce, distribute or store unlawful content, in particular any sexual content involving a minor, which results in immediate closure of the account and, where applicable, a report to the authorities;
  • depict a real person in sexual, degrading or defamatory content without their consent, or create a deepfake intended to deceive;
  • harass, threaten, incite hatred, violence or terrorism, or glorify them;
  • infringe the rights of others: copyright, trademarks, image rights, privacy, trade secrets;
  • design or distribute malware, deceive people (phishing, fraud, identity theft), send unsolicited bulk messages, or access a system without authorization;
  • base a decision that has significant effects on a person (recruitment, employee evaluation, credit, health) solely on the Outputs, without human review;
  • circumvent the limits of the Service: Quotas, Model access by Plan, moderation filters, security measures;
  • use the Model access credentials assigned to your account outside Jay, share them, resell them, or transfer your account;
  • disrupt the Service (abnormal load, attack, attempt to extract the Models), or copy, decompile or disassemble Jay other than as permitted by law.

11.2 Recording a meeting. Before recording or transcribing a meeting, call or conversation, you inform each participant and obtain their consent. Recording words spoken in private without the speaker's consent is a criminal offense. You are responsible for the use and storage of recordings and transcripts.

11.3 Third-party Services. When you connect a Third-party Service, you authorize Jay to act in it on your behalf, within the limits of the permissions you grant. Its use remains governed by its publisher's terms. You can revoke this access at any time, from Jay or from the Third-party Service. dev-id is not responsible for the availability, content or changes of Third-party Services.

11.4 Refusal and moderation. Jay may refuse a request or not display an Output that breaches these rules, in particular for image generation.

11.5 Breach. A breach of this article may lead to suspension or closure of the account, under the conditions of article 14.

Article 12 · Personal data

dev-id processes your data as described in the privacy policy, and acts as a processor for third-party data that a Professional entrusts to it.

12.1 Your data. The processing of your personal data is described in the privacy policy: what stays on your computer, what is sent to the Models, how long it is kept, and your rights.

12.2 Third-party data processed for a Professional. When a Professional uses Jay to process third parties' personal data (customers, employees, candidates, meeting participants), it is the controller of that data, and dev-id acts as a processor for sending it to the Models and keeping it in the logs. Annex 2 then sets out each party's obligations, in accordance with article 28 of the General Data Protection Regulation (GDPR).

12.3 Your obligations. You make sure you are able to entrust this data to Jay (informing the people concerned, legal basis), and you only include what the task needs, avoiding sensitive data (health, opinions, full bank details) when it is not necessary.

Article 13 · Legal guarantees and liability

Consumers benefit from the legal guarantee of conformity throughout their subscription; dev-id's liability towards Professionals is capped.

13.1 Legal guarantee of conformity (Consumers). As Jay is a digital service supplied continuously, dev-id is liable for any lack of conformity that appears during the period of supply, and it is up to dev-id to prove that the Service was in conformity. In the event of a defect, you are entitled to have the Service brought into conformity, free of charge and within a reasonable time. If that is impossible, does not happen within a reasonable time, or if the defect is serious, you may obtain a price reduction or, unless the defect is minor, termination of the contract: dev-id then refunds you the portion of the price corresponding to the period of non-conformity and to the remaining period. dev-id provides you with the updates necessary to keep the Service in conformity. To invoke the guarantee, write to customer service (article 15).

13.2 Availability. dev-id uses reasonable means to keep Jay available and working properly, but cannot guarantee an uninterrupted or error-free service: the Models, networks and Third-party Services may experience interruptions, and maintenance may temporarily suspend the Service. Features that use the Models require an internet connection.

13.3 Consumers and Non-professionals. dev-id is automatically liable for the proper performance of the contract. It may be released from all or part of its liability by proving that the non-performance or improper performance is attributable to the User, to the unforeseeable and insurmountable act of a third party to the contract, or to force majeure.

13.4 Professionals. dev-id's liability is limited to direct and foreseeable damage caused by a proven breach of its obligations. It is capped at the amount paid for Jay in the twelve months preceding the event giving rise to liability, or one hundred euros for a free Plan. Indirect damage is excluded, in particular loss of revenue, customers, data or reputation, and the consequences of decisions made on the basis of the Outputs.

13.5 Limits that never apply. Nothing in these terms limits dev-id's liability for personal injury, gross negligence or willful misconduct, or where the law prohibits it.

13.6 Backups. Your Content is primarily stored on your computer, and the Agent can modify or delete files at your request. Keep regular backups of your data (Time Machine on Mac, git repository, external drive).

Article 14 · Suspension, force majeure, changes to the terms

Any suspension is justified, and any significant change is announced to you thirty days in advance, with the option to leave free of charge.

14.1 Suspension or closure of the account. In the event of a serious or repeated breach of these terms (use prohibited by article 11, fraud, definitive non-payment), dev-id may suspend access to the Service or close the account. Except in an emergency, dev-id first notifies you by email, stating the reason, and gives you fifteen days to remedy it or submit your comments. In an emergency (manifestly unlawful content, risk to the security of the Service or of third parties, request from an authority), the suspension may be immediate and the reason is communicated to you afterwards. If a Customer's account is closed for a reason not attributable to them, dev-id refunds the portion of the price corresponding to the remaining period.

14.2 Force majeure. Neither party is liable for any delay or failure to perform caused by force majeure within the meaning of article 1218 of the French Civil Code. If the impediment lasts more than thirty days, either party may cancel the subscription, and the period paid for but not provided is refunded.

14.3 Changes to the Service. dev-id develops Jay: new features, change of a Model's engine, removal of a feature, adaptation to the law or to security needs. These changes come at no cost to you. If one of them significantly reduces the access or use provided for by your paid Plan, dev-id notifies you at least thirty days in advance; you may then cancel free of charge within thirty days of the notice or of the change, and the remaining period is refunded.

14.4 Changes to the terms. dev-id may change these terms, in particular to follow the law or changes to the Service. The new version is notified to you by email or in the app at least thirty days before it takes effect, with a summary of the changes. For a Customer, it applies from the first renewal after that period; if you refuse it, you may cancel free of charge before it applies. A change required by law may apply sooner if the law so requires.

Article 15 · Complaints, governing law and disputes

For any complaint, contact customer service first to seek an amicable solution.

15.1 Customer service. For any question or complaint, write to contact@dev-id.fr or to the postal address in article 1. dev-id acknowledges receipt of each complaint and replies as soon as possible.

15.3 Governing law. These terms are governed by French law. A Consumer residing in another European Union member state retains the protection of the mandatory provisions of the law of their country of residence.

15.4 Disputes. Failing an amicable agreement, a Consumer may bring proceedings, at their choice, before any court having territorial jurisdiction under the French Code of Civil Procedure, or before the court of the place where they lived when the contract was concluded or when the harmful event occurred. Any dispute with a Professional falls under the exclusive jurisdiction of the courts for the place of dev-id's registered office, including for summary proceedings and where there are several defendants.

15.5 Miscellaneous. If a clause is held void, the others remain applicable. Failing to rely on a clause at a given time does not constitute a waiver of the right to rely on it later. This English version is a translation: in the event of any discrepancy, the French version prevails.

Annex 1 · Withdrawal form

Complete and return this form only if you wish to withdraw from the contract, by email to contact@dev-id.fr or by post to the address in article 1. Any other unambiguous statement is also valid.

Annex 2 · Data processing agreement (business customers)

This annex applies when a Professional (the “Customer”, controller) entrusts third parties' personal data to Jay; it contains the terms required by article 28 of the GDPR.

1. Subject matter and duration. dev-id processes, for the Customer, the personal data contained in the Content the Customer sends to the Models through Jay, for the life of its account.

2. Nature and purposes. Sending to the Models, producing the Outputs, transcription, image checks, retention in the gateway logs for diagnostics and abuse prevention.

3. Data and data subjects. Any data the Customer places in its Content (identity, contact details, professional life, voice and words spoken in meetings...), concerning its customers, prospects, employees, candidates, meeting participants or any person mentioned.

4. Instructions. dev-id processes this data only on the Customer's documented instructions, consisting of the Terms and the Customer's use of Jay's features. dev-id informs the Customer if an instruction appears to infringe the regulations.

5. Confidentiality and security. Persons authorized to access the data are bound by confidentiality. dev-id applies the measures described in the privacy policy (Security section).

6. Sub-processors. The Customer authorizes the use of Oreus (Model execution, in France) and of the service providers listed in the privacy policy. dev-id informs the Customer of any change at least 30 days in advance, and the Customer may object by cancelling. dev-id imposes the same obligations on each of them and remains liable for their performance.

7. Location. Content sent to the Models is processed in France.

8. Assistance. dev-id assists the Customer, insofar as possible, in responding to requests to exercise data subject rights, ensuring the security of processing, notifying breaches and carrying out impact assessments.

9. Data breaches. dev-id notifies the Customer of any data breach affecting it without undue delay, and no later than 48 hours after becoming aware of it, with the relevant information.

10. End of processing. Gateway logs are deleted after 30 days; dev-id keeps no other copy of the Content on its servers.

11. Audit. dev-id makes available to the Customer the information necessary to demonstrate compliance with this annex, and allows an audit with 30 days' notice, no more than once a year, at the Customer's expense and subject to a confidentiality undertaking.

12. Customer's obligations. The Customer has a legal basis for the processing it entrusts, informs the data subjects and only sends the data that is necessary.
